About these terms

These Terms of Service ("Terms") are a legal agreement between you and Ollio ("Ollio", "we", "us", or "our"), the provider of the Ollio service. They govern your access to and use of our public website, account registration, beta access, company Workspaces, and the Ollio application (together, the "Service").

Ollio is business management software for stock, orders, delivery, contacts, team management, and related business operations, currently offered as a beta service. By creating an account, requesting beta access, or using the Service, you agree to these Terms. If you use Ollio for an organisation, you agree to these Terms on its behalf and confirm that you are authorised to do so.

Please also read our Privacy Policy, which explains how we collect and handle personal information when you use Ollio.

Eligibility

You may use Ollio only if you can form a legally binding contract and are at least 18 years old, or the age of legal majority where you live. If you register on behalf of a business or organisation, you confirm that you are authorised to accept these Terms for that organisation.

Account registration

To use Ollio you create an account and, where applicable, set up a company Workspace. During the beta, creating a Workspace also gives your organisation access to the available beta tools. You are responsible for the information you provide during registration and for keeping your account and company details accurate and up to date.

Accurate account information

You agree to provide accurate, current, and complete information when you register and when you update your account or company details, and not to impersonate any person or misrepresent your affiliation with any business or organisation.

Email verification

Registration and beta-access requests require verifying control of an email address using a one-time code we send to that address. You agree not to attempt to bypass, guess, or interfere with this verification, and to keep the email address associated with your account accurate and accessible.

Invitation codes and beta access

During closed-beta periods, creating an account may require a valid invitation code. Invitation codes are single-use and are intended only for the person or business they were issued or approved for. They must not be sold, publicly posted, or transferred to unrelated third parties.

Ollio may revoke an unused invitation code at any time before it is redeemed, and approves or declines beta-access requests at its discretion. An approved request or a redeemed invitation code does not guarantee continued or future access to Ollio.

Workspace administrator responsibilities

If you create a company Workspace, you act as its administrator, or you assign that role to someone else in your organisation. Administrators are responsible for:

  • managing team members and their access, including roles, permissions, branch scope, and tool access;
  • making sure their organisation's use of Ollio complies with these Terms and applicable law;
  • the business information entered into the Workspace, and having an appropriate legal basis to store and process any personal information it contains;
  • decisions about the Workspace itself, including adding or removing members and requesting closure of the Workspace.

Team member responsibilities

If you join a company Workspace as a team member, your access is set by the roles and permissions your administrator assigns. You agree to use that access only for the purposes intended by your organisation and in accordance with these Terms. Your organisation controls its Workspace and may change or remove your access.

Account security

You are responsible for keeping your password confidential and for activity that occurs under your account. Notify us promptly if you suspect unauthorised access to your account.

Acceptable use

You agree not to:

  • use Ollio for any unlawful purpose or in violation of applicable law or regulation;
  • attempt to gain unauthorised access to Ollio, other accounts, or other Workspaces;
  • interfere with or disrupt the integrity or performance of Ollio, including through automated scraping, load testing, or attempts to circumvent rate limits or security controls;
  • upload or store content that infringes another person's rights, or that is unlawful, deceptive, or harmful;
  • resell, sublicense, or provide access to Ollio to third parties outside your own organisation without our permission;
  • use Ollio to send unsolicited messages, or to store or process personal information without an appropriate legal basis.

Your Business Data

"Business Data" means the business records, customer and supplier information, files, images, and other content that you or your organisation enter into or upload to Ollio. You and your organisation are solely responsible for your Business Data, including its accuracy, legality, and appropriateness, and for having the rights and any necessary consents to store and process it in Ollio — including personal information about your own customers, suppliers, or employees.

Data ownership

As between you and Ollio, you and your organisation retain ownership of your Business Data.

You grant Ollio a limited, non-exclusive licence to host, store, process, transmit, display, back up, and support your Business Data, only as needed to provide, secure, and improve the Service for you and your organisation. This licence ends when the relevant Business Data is deleted or when your Workspace is closed, except for copies retained in backups for a limited period or as required by law.

Ollio's intellectual property

Ollio, including its software, design, branding, and underlying technology, is owned by Ollio or its licensors and is protected by intellectual property laws. These Terms do not grant you any right to use Ollio's name, logo, or branding, or its proprietary technology, except for your ordinary use of the Service.

Feedback

If you choose to share feedback, suggestions, or ideas with us, you allow us to use them to improve Ollio and related products or services, without compensation or obligation to you. Feedback is given voluntarily, and this does not give us any rights in your Business Data.

Beta service status

Ollio is currently offered as a beta service. Beta software may contain bugs, incomplete features, or behaviour that differs from a final, generally available product, and is provided to help us test and improve Ollio with real users. Do not rely on the beta as the only record of critical business information; keep your own copies of data that matters to you.

Changes to beta features

We may add, remove, change, or temporarily disable tools, features, or functionality during the beta — including features described as "Coming Soon" or "Available now" on our website — and we may change limits such as the number of team seats. We will try to communicate significant changes where practical.

Service availability

We aim to keep Ollio available and reliable, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance, updates, or changes that temporarily affect availability, and we may do so with limited notice during the beta.

Future paid plans

Ollio is free to use during the beta. We plan to introduce paid plans in the future. Pricing and billing terms are not final, and we will communicate them to you, with reasonable notice, before you would be asked to pay for continued use of a feature you already rely on. You will be able to decide whether to continue on a paid plan at that time.

Suspension and termination

We may suspend or terminate your access to Ollio if we reasonably believe you have violated these Terms, misused an invitation code, or engaged in unlawful or harmful conduct, or if we discontinue the beta or a specific feature. Where practical, we will give notice before suspending or terminating an account. You may stop using Ollio at any time.

Closing your account or Workspace

You can ask us to close your individual account at any time. Closing your account does not by itself close your organisation's Workspace or delete its Business Data.

A Workspace, and the Business Data in it, remain under the control of the organisation and its administrators. Only a Workspace administrator can request closure of the organisation's Workspace. When a Workspace is closed, we deactivate it and delete or anonymise the associated data in line with our Privacy Policy, subject to copies retained in backups for a limited period or as required by law.

Ollio does not currently offer a self-service data export. If you need a copy of specific data before closure, contact us and we will consider the request.

Closing an account or Workspace does not relieve you of obligations or amounts that arose before closure.

Privacy

Our Privacy Policy explains how we collect, use, share, and protect personal information when you use Ollio, including information in company Workspaces. By using the Service you acknowledge that we handle personal information as described in the Privacy Policy.

Disclaimers

To the fullest extent permitted by applicable law, Ollio is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Ollio will be uninterrupted, timely, secure, or error-free, or that data will always be accurate or preserved, particularly during the beta. Nothing in these Terms excludes or limits rights or remedies that cannot be excluded or limited under applicable law.

Limitation of liability

To the fullest extent permitted by applicable law, Ollio and the people who work on it will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of, or inability to use, Ollio.

To the fullest extent permitted by applicable law, our total liability for all claims relating to the Service is limited to the amount you have paid us, if any, for the use of Ollio in the twelve months before the event giving rise to the claim. Because Ollio is currently free during the beta, this amount may be zero.

Nothing in these Terms limits liability that cannot be limited under applicable law.

Governing law

These Terms are governed by the laws of Malaysia, without regard to conflict-of-laws principles. The courts of Malaysia have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of Ollio, subject to any right you have under applicable law to bring proceedings elsewhere.

Changes to these Terms

We may update these Terms from time to time, particularly as Ollio moves from beta toward a generally available product. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify registered users. If you continue to use Ollio after an update takes effect, you accept the revised Terms.
